Vendor Terms & Conditions for Vintage in the Hudson Valley Festival

VENDOR TERMS & CONDITIONS

Vintage in the Hudson Valley Festival is produced by Studio 22 Events LLC ("Organizer"). By submitting an application, purchasing booth space, making payment, participating in the festival, or entering the festival grounds as a vendor, exhibitor, sponsor, artist, maker, food vendor, or representative, you acknowledge that you have read, understood, and agree to the following Terms and Conditions.
1. Application and Acceptance
Submission of an application does not guarantee acceptance into the festival.
Vintage in the Hudson Valley Festival is a curated event. Organizer reserves the sole and absolute right to approve, deny, suspend, revoke, relocate, or remove any vendor application or participation at any time.
Vendor selection may be based on inventory quality, booth presentation, professionalism, website and social media presence, supporting photographs, previous participation, district balance, space limitations, and overall fit with the festival.
Organizer's decisions are final.
2. Reasons for Non-Selection
Applications may be denied for reasons including, but not limited to:

Category limitations or oversaturation;

Incomplete applications;
-
Lack of supporting information or photographs;
-
Misrepresentation during the application process;
-
Previous cancellations without reasonable notice;
-
Previous complaints from attendees, vendors, sponsors, or event personnel;
-
Previous violations of event policies;
-
Unprofessional, disrespectful, abusive, threatening, or disruptive behavior; or
-
Any conduct or circumstance that Organizer determines is inconsistent with the values, safety, professionalism, reputation, or overall vision of the festival.
3. Vendor Conduct and Professionalism
Vintage in the Hudson Valley Festival maintains a zero-tolerance policy for:

Harassment;
-
Threats or intimidation;
-
Discrimination;
-
Bullying;
-
Verbal abuse;
-
Aggressive or disorderly behavior;
-
Profanity directed toward staff, volunteers, security personnel, sponsors, performers, attendees, or other vendors; and
-
Refusal to comply with festival rules or instructions.
Organizer reserves the absolute right, in its sole discretion, to deny participation, relocate, suspend, or immediately remove any vendor, employee, assistant, contractor, representative, vehicle, merchandise, or display from the festival, with or without notice and for any reason or no reason, to the fullest extent permitted by law.
Any vendor removed from the festival shall not be entitled to any refund, reimbursement, credit, or compensation.
Organizer reserves the right to permanently prohibit any individual or business from participating in future Studio 22 Events events.
4. Responsibility for Employees and Representatives
Vendors are responsible for the conduct of all employees, assistants, family members, volunteers, contractors, and representatives working in or around their booth.
Misconduct by any person associated with a vendor may result in the removal of the entire booth without refund.
5. Booth Requirements
Vendors agree to:

Arrive during designated load-in times;

Complete setup before opening;
-
Remain open during all required festival hours;
-
Follow all load-in and load-out procedures;
-
Maintain a clean, safe, and professional booth space; and
-
Properly secure all tents, displays, racks, and signage.
Booths may not be sold, shared, subleased, transferred, or reassigned without written approval from Organizer.
Early breakdown or abandonment of a booth space may affect eligibility for future events.
6. District Placement and Inventory Requirements
Vendors must select the district that best represents their business.
At least eighty percent (80%) of a vendor's inventory must fit within the selected district.
Organizer reserves the right to relocate booths, modify district assignments, or require vendors to remove merchandise that was not disclosed during the application process or does not fit the selected district.
Vendors must sell substantially the same products described in their application.
7. Tent and Display Safety
All tents, canopies, signage, racks, and displays must be properly secured using appropriate weights, stakes, or other safety equipment.
Organizer reserves the right to require vendors to add additional weights, modify unsafe displays, or remove structures that present a safety hazard.
8. Non-Refund Policy
All booth fees, deposits, sponsorships, upgrades, add-ons, and vendor payments are final and non-refundable.
Weather, attendance, sales performance, equipment failure, staffing issues, booth placement, personal circumstances, or dissatisfaction do not entitle vendors to refunds, credits, or compensation.
Chargebacks or payment reversals constitute a material breach of these Terms and Conditions and may result in permanent removal from future events.
9. No Guarantee of Sales or Exclusivity
Organizer makes no guarantee regarding:

Attendance;

Foot traffic;
-
Revenue or profits;
-
Sales performance;
-
Booth placement;
-
Media exposure; or
-
Exclusivity within any category or district.
Participation in the festival is undertaken entirely at the vendor's own risk.
10. Packaged Food and Specialty Food Vendors
Any vendor selling packaged food products, including but not limited to honey, jams, baked goods, sauces, candy, spices, syrups, pickles, preserves, dry goods, coffee, tea, or similar products, is solely responsible for obtaining and maintaining all required permits, licenses, health approvals, sales tax registrations, ingredient labels, allergen disclosures, and any other approvals required by law.
Organizer may request documentation at any time before or during the festival.
Failure to provide required documentation may result in immediate removal without refund.
Organizer does not inspect, certify, or guarantee the legality or safety of any food product.
11. Food Trucks, Beverage Vendors, and Alcohol Vendors
Food trucks, breweries, wineries, cideries, distilleries, coffee vendors, specialty beverage vendors, and alcohol vendors are solely responsible for obtaining all required permits, licenses, insurance certificates, health approvals, fire approvals, county approvals, and state approvals.
Failure to comply with applicable laws or festival requirements may result in immediate removal without refund.
Organizer does not guarantee electricity, water, placement, attendance, or sales.
12. Insurance and Liability
Organizer strongly recommends that vendors maintain general liability insurance.
Organizer's insurance does not cover vendor property, inventory, vehicles, equipment, products, employees, or representatives.
Organizer shall not be responsible for theft, rain, flooding, mud, wind damage, property damage, equipment failure, lost merchandise, or business interruption.
Vendors participate at their own risk.
13. Abandoned Property
Organizer shall not be responsible for merchandise, tents, displays, inventory, trailers, equipment, or vehicles left on festival grounds after the designated load-out period.
Organizer reserves the right to remove, relocate, store, or dispose of abandoned property at the sole expense and risk of the owner.
14. Public Conduct and Reputation
Vendors may not knowingly publish false statements, harass staff or attendees online, or engage in conduct that materially damages the reputation or operation of the festival.
Organizer reserves the right to refuse future participation based on such conduct.
15. Recovery of Costs and Attorneys' Fees
Any vendor who violates these Terms and Conditions agrees to reimburse and indemnify Studio 22 Events LLC for any costs, expenses, damages, losses, liabilities, attorneys' fees, court costs, investigation expenses, collection costs, chargeback fees, and other expenses incurred in enforcing these Terms or defending against claims arising from the vendor's conduct, products, services, employees, representatives, or participation in the festival.
This obligation survives removal from the festival or the conclusion of the event.
16. Governing Law and Venue
These Terms and Conditions shall be governed by the laws of the State of New York.
Any lawsuit, claim, action, or proceeding arising out of participation in the festival shall be brought exclusively in the state or federal courts located in New York.
Organizer shall not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages, including lost profits, travel expenses, lodging expenses, payroll expenses, marketing costs, contractor costs, business interruption, or other economic losses.
Agreement to Vendor Terms & Conditions
By submitting an application to Vintage in the Hudson Valley Festival, paying for booth space, purchasing any vendor upgrade, or otherwise participating in the festival, you acknowledge that you have read, understood, and agree to be bound by these Vendor Terms & Conditions in their entirety.
Submission of an application constitutes acceptance of these Terms & Conditions, regardless of whether a vendor is ultimately accepted into the festival.
Payment for booth space, vendor upgrades, sponsorships, advertising opportunities, or any other festival-related fees constitutes a separate and additional acknowledgment and acceptance of these Terms & Conditions.
All vendors, exhibitors, artists, makers, food vendors, beverage vendors, sponsors, employees, assistants, volunteers, contractors, and representatives participating in Vintage in the Hudson Valley Festival are subject to these Terms & Conditions.
By applying or making payment, vendors expressly agree to comply with all festival rules, policies, requirements, instructions, deadlines, and decisions made by Studio 22 Events LLC and its representatives.
Failure to comply with these Terms & Conditions may result in denial of participation, relocation, suspension, removal from the festival without refund, and/or permanent disqualification from future Studio 22 Events events.
