MUSIC, TRIBUTE BAND & PERFORMER TERMS & CONDITIONS (2027)

Produced by: Studio 22 Events LLC ("Organizer")

Event: Vintage in the Hudson Valley Festival ("Event")

Venue: Ulster County Fairgrounds, 249 Libertyville Road, New Paltz, New York, and any future venue designated by Organizer.

Performer: Any musician, tribute band, solo artist, vocalist, DJ, speaker, entertainer, performer, crew member, or representative participating in the Event ("Performer").

These Music, Tribute Band & Performer Terms & Conditions ("Terms") govern participation in the Vintage in the Hudson Valley Festival. By submitting an application, accepting a performance slot, signing an agreement, arriving onsite, performing, or participating in any capacity, Performer acknowledges that they have read, understood, and agreed to be bound by these Terms in their entirety.

1. Independent Contractor Status

Performer participates as an independent contractor and not as an employee, agent, partner, representative, or joint venturer of Studio 22 Events LLC.

Nothing contained in these Terms creates an employment relationship, partnership, or agency relationship between Performer and Organizer.

Performer has no authority to bind Organizer in any manner.

2. Selection & Participation

Vintage in the Hudson Valley Festival is a curated event.

Submission of an application does not guarantee selection, performance time, future bookings, or participation in future festivals.

Organizer reserves the sole and absolute right to approve, deny, cancel, modify, or withdraw any performance invitation at any time.

Acceptance into the festival does not create an exclusive relationship between Performer and Organizer.

3. Compensation & Performance Agreements

Compensation, if any, shall be governed exclusively by a separate written agreement signed by Organizer.

Unless expressly stated in writing, Organizer makes no guarantees regarding:

Compensation
Merchandise sales
Audience size
Attendance
Tips
Exposure
Media coverage
Future bookings
Promotional opportunities
Sponsorship opportunities

Participation in the Event is undertaken at Performer's own risk.

4. Performance Schedule & Festival Modifications

Organizer reserves the right to assign, modify, shorten, extend, relocate, reschedule, interrupt, delay, or cancel any performance for any operational, safety, weather, logistical, legal, technical, sponsorship, crowd-control, or emergency reason.

The 2027 festival will feature a redesigned main stage area, expanded audience walkways, additional signage, and a reimagined entertainment district intended to improve traffic flow and attendee experience.

Performer acknowledges that stage locations, audience layouts, vendor placement, backstage areas, and production logistics may change at Organizer's discretion.

Such changes shall not constitute a breach of contract and shall not entitle Performer to additional compensation unless expressly agreed to in writing.

5. Performance Requirements

Performer agrees to:

Arrive during designated load-in times.
Complete soundcheck and setup as instructed.
Begin and end performances at assigned times.
Follow all stage management instructions.
Maintain professional conduct with attendees, staff, vendors, sponsors, and fellow performers.
Remove all personal equipment and belongings after the performance.

Organizer reserves the right to shorten or discontinue any performance that exceeds its allotted time.

6. Equipment, Sound & Production

Organizer intends to provide a professional stage, sound system, and production team; however, Organizer reserves the right to modify production arrangements at any time.

Performer is solely responsible for:

Instruments
Personal equipment
Backline not specifically provided
Amplifiers
Merchandise
Specialty equipment
Wireless systems
Cables and accessories

Organizer is not responsible for lost, stolen, damaged, or malfunctioning equipment.

Performer assumes all risk associated with transporting, operating, and storing equipment.

7. Licensing, Copyright & Performance Rights

Performer represents and warrants that they possess all rights, licenses, permissions, and approvals necessary to perform any music, recordings, lyrics, compositions, choreography, audiovisual content, or other material presented during the Event.

This includes, but is not limited to:

Original works
Tribute performances
Cover songs
Recorded music
Visual content
Copyrighted material

Performer shall comply with all applicable copyright laws and performance-rights obligations.

Organizer assumes no responsibility for copyright claims, licensing disputes, royalty obligations, or intellectual-property issues arising from Performer's performance.

Performer agrees to indemnify and hold harmless Organizer from any such claims.

8. Permits & Legal Compliance

Performer is solely responsible for complying with all federal, state, county, and local laws and regulations applicable to their participation.

Organizer's acceptance of an application does not constitute approval of legal compliance.

Performer shall comply with:

Noise ordinances
Venue policies
Fire regulations
Safety requirements
Labor laws
Business regulations
Copyright requirements
Any New York State or local regulations

9. Merchandise Sales

Performer may sell approved merchandise only in designated areas authorized by Organizer.

Performer retains all proceeds from approved merchandise sales unless otherwise agreed to in writing.

Organizer reserves the right to limit merchandise locations, displays, or products.

Performer is solely responsible for:

Sales tax obligations
Staffing
Inventory
Payment processing
Licensing compliance

10. Conduct & Professional Standards

Performer and all crew members, employees, contractors, volunteers, and representatives shall conduct themselves in a professional, respectful, lawful, and safe manner at all times.

Organizer reserves the right to immediately remove any Performer, crew member, vehicle, equipment, or representative who:

Creates a safety risk
Violates festival rules
Acts aggressively toward staff or attendees
Uses illegal substances
Engages in harassment or discrimination
Damages festival property
Behaves in a disruptive or inappropriate manner

Removal may occur immediately and without compensation.

11. Assumption of Risk

Performer knowingly assumes all risks associated with participation in a large outdoor public event, including but not limited to:

Weather conditions
Extreme heat
Rain
Uneven terrain
Crowd interaction
Noise exposure
Equipment failure
Theft
Property damage
Personal injury
Illness
Travel disruptions
Business interruption

Participation is entirely voluntary and at Performer's own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Organizer shall not be liable for:

Injury
Illness
Theft
Property damage
Equipment damage
Travel expenses
Lost profits
Lost opportunities
Emotional distress
Business interruption
Delays
Inconvenience

Organizer shall not be liable for indirect, consequential, punitive, incidental, or special damages arising from participation in the Event.

13. Insurance

Organizer reserves the right to require proof of Commercial General Liability Insurance from any Performer, management company, or touring organization.

Upon request, Performer shall provide a Certificate of Insurance naming Studio 22 Events LLC and the Ulster County Fairgrounds as additional insureds.

Failure to provide requested documentation may result in cancellation of participation.

14. Release & Indemnification

Performer agrees to release, indemnify, defend, and hold harmless Studio 22 Events LLC, the Ulster County Fairgrounds, sponsors, volunteers, employees, contractors, officers, directors, affiliates, and representatives from and against any claims, damages, liabilities, losses, costs, judgments, fines, penalties, and attorney fees arising from:

Performer's participation
Equipment
Crew members
Merchandise
Copyright claims
Contract disputes
Personal injury
Property damage
Legal violations
Negligence
Failure to comply with these Terms

15. Media Release

Performer grants Organizer the irrevocable right to photograph, record, livestream, broadcast, reproduce, distribute, and otherwise use Performer's name, likeness, voice, image, performance, logo, and promotional materials for advertising, social media, marketing, public relations, documentary, and archival purposes without compensation.

16. Weather, Force Majeure & Event Cancellation

Organizer reserves the right to delay, suspend, relocate, modify, or cancel performances due to:

Weather conditions
Public safety concerns
Venue issues
Government orders
Power outages
Acts of God
Emergencies
Technical failures
Circumstances beyond Organizer's control

Organizer shall not be liable for any costs, damages, losses, or expenses resulting from such changes.

17. Dispute Resolution & Arbitration

Any dispute arising from these Terms or participation in the Event shall be resolved exclusively through binding arbitration in the State of New York.

Performer knowingly waives the right to a trial by judge or jury and agrees that all claims shall be brought solely on an individual basis and not as part of any class action, collective action, or representative proceeding.

18. Governing Law & Severability

These Terms shall be governed by and construed in accordance with the laws of the State of New York.

If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between Organizer and Performer regarding participation in the Vintage in the Hudson Valley Festival and supersede all prior discussions, communications, representations, and agreements.
