These Sponsorship Terms & Conditions ("Terms") apply to all sponsorships purchased, donated, reserved, or otherwise provided in connection with Vintage in the Hudson Valley Festival and any other events produced by Studio 22 Events LLC ("Organizer").
By purchasing, reserving, submitting payment for, or otherwise participating in a sponsorship, Sponsor acknowledges that it has read, understood, and agreed to be bound by these Terms in their entirety. These Terms are incorporated into and form a part of every sponsorship purchase, agreement, invoice, and transaction. Sponsor's purchase, payment, or participation constitutes acceptance of these Terms, whether or not Sponsor separately signs, initials, or acknowledges them.
1. Sponsorship Nature & Scope
Sponsorships are promotional and marketing opportunities intended to support event production and community engagement. Sponsorship benefits, visibility, activations, branding opportunities, and deliverables vary by sponsorship level and are described in the applicable sponsorship listing, sponsorship deck, website, invoice, or written agreement.
Organizer reserves the right to determine the location, size, design, placement, timing, and presentation of all sponsor benefits, including, but not limited to, banners, signage, activations, lounges, installations, sponsor parking, VIP access, promotional recognition, and hospitality areas.
Any sponsorship designated as "exclusive" applies only to the specific sponsorship category identified in writing and does not grant Sponsor any broader category exclusivity, competitive protection, or market restriction.
Exclusive sponsorship opportunities are offered on a first-come, first-served basis and are not reserved until payment has been received and accepted by Organizer.
Organizer makes no representations or guarantees regarding attendance, demographics, engagement levels, social media reach, website traffic, sales, leads, impressions, brand exposure, or return on investment. All attendance figures, audience estimates, social media statistics, and promotional materials are informational only and do not constitute guarantees.
Sponsor acknowledges that it is not relying on any statements, projections, estimates, or representations regarding attendance, exposure, demographics, performance, or outcomes, except as expressly set forth in these Terms.
2. Sponsorship Requests & Acceptance
Submission of a sponsorship inquiry form, sponsorship application, or sponsorship request does not guarantee acceptance or availability.
Organizer reserves the right to reject any sponsor, decline any sponsorship request, refuse any proposed custom partnership, or revoke sponsorship eligibility at its sole discretion.
Custom sponsorship opportunities, activations, installations, and branding experiences may require additional written agreements or supplemental terms.
3. Sponsorship Benefits & Deliverables
Sponsors receiving activation space, vehicle displays, branded lounges, installations, demonstrations, giveaways, or other interactive experiences are solely responsible for supplying all necessary materials, staffing, equipment, permits, licenses, and insurance required by law.
Organizer reserves the right to approve, relocate, resize, modify, or remove any activation, display, installation, banner, giveaway, vehicle, or promotional experience that creates operational, safety, legal, or logistical concerns.
Sponsors are responsible for complying with all venue rules, local ordinances, health regulations, and safety requirements.
Unused activation space, sponsor credentials, parking passes, banners, or sponsorship benefits have no cash value and are non-transferable unless approved in writing by Organizer.
Organizer reserves the right to modify sponsorship benefits, event programming, schedules, timelines, sponsorship placements, festival layouts, attractions, entertainment, and logistics as necessary for operational, safety, legal, or venue-related reasons.
Organizer reserves final approval over the design, placement, size, and installation of all sponsor banners, signage, and promotional materials.
4. Alcohol, Beverage & Food Sponsorships
Sponsors participating in any alcohol, beverage, food, tasting, hospitality, or similar activation are solely responsible for obtaining and complying with all applicable federal, state, and local permits, licenses, insurance requirements, and regulations.
Organizer does not guarantee the issuance of any permit or license and reserves the right to modify, relocate, suspend, or cancel any alcohol-, food-, or beverage-related activation to comply with venue rules, legal requirements, or safety concerns.
Sponsor agrees to release, indemnify, defend, and hold harmless Organizer from any claims, fines, penalties, damages, liabilities, costs, or expenses arising from Sponsor's food or beverage operations.
5. Sponsor Responsibilities
Sponsor is solely responsible for providing all required logos, artwork, branding materials, advertisements, promotional copy, merchandise, prizes, products, and other deliverables by Organizer's stated deadlines.
Sponsors who fail to submit logos, artwork, advertisements, banners, or other required materials by Organizer's deadlines may forfeit some or all promotional benefits without refund.
Failure to meet submission deadlines may result in reduced, delayed, or forfeited sponsorship benefits without refund.
Organizer is not responsible for printing delays, production delays, or omitted benefits caused by Sponsor's failure to submit materials on time.
Sponsor represents and warrants that all materials, products, and representations provided are lawful, accurate, owned or properly licensed, and compliant with all applicable federal, state, and local laws and regulations.
All sponsor materials are subject to Organizer approval and may be rejected, removed, or modified if deemed misleading, unsafe, offensive, unlawful, discriminatory, or inconsistent with the event's standards and mission.
6. Sponsor Conduct
Organizer reserves the right to remove any Sponsor, employee, representative, activation, display, or promotional material that Organizer determines, in its sole discretion, to be unsafe, disruptive, unlawful, offensive, discriminatory, or inconsistent with the values and standards of the event.
No refund shall be issued in such cases.
7. Sponsor Staffing, Property & Security
Sponsors are solely responsible for staffing, supervising, securing, and insuring their own property, equipment, merchandise, vehicles, displays, and promotional materials.
Organizer is not responsible for lost, stolen, or damaged property.
Sponsor voluntarily assumes all risks associated with participation in the event.
8. Electrical & Utility Disclaimer
Organizer does not guarantee uninterrupted access to electricity, internet service, water, cellular service, or other utilities and shall not be liable for interruptions, outages, technical failures, or service disruptions.
9. Fees & Non-Refundable Policy
All sponsorship fees are final and non-refundable once payment has been submitted and accepted by Organizer.
No refunds shall be issued for cancellations, scheduling conflicts, travel issues, illness, weather conditions, changes in event scope, Sponsor's failure to fulfill sponsorship requirements, or Sponsor's inability to participate.
Sponsorship fees shall remain non-refundable regardless of attendance levels, sales performance, engagement levels, weather conditions, or Sponsor expectations.
10. Weather Disclaimer
Sponsor acknowledges that attendance, visibility, and engagement may be affected by weather, traffic conditions, competing events, emergencies, or other circumstances beyond Organizer's control.
Such circumstances shall not entitle Sponsor to any refund, credit, or reduction in sponsorship fees.
11. Event Modifications, Rescheduling & Cancellation
Organizer reserves the right to modify event programming, sponsorship benefits, schedules, layouts, attractions, entertainment, vendor placement, sponsorship locations, and festival logistics as necessary.
Organizer shall not be liable for delays, interruptions, rescheduling, or cancellation due to circumstances beyond its reasonable control, including, but not limited to:

Severe weather

Flooding
-
Acts of God
-
Public health emergencies
-
Government orders
-
Venue restrictions
-
Labor disputes
-
Utility failures
-
Safety concerns
-
Security threats
-
Equipment failures
In such cases, sponsorship fees remain non-refundable, and Organizer is not obligated to replace or substitute sponsorship benefits.
12. VIP Credentials, Parking & Sponsor Amenities
VIP credentials, sponsor parking passes, dedicated entrances, hospitality benefits, and other sponsor amenities are promotional benefits only and may be modified, relocated, or limited for safety, security, operational, or venue-related reasons.
Sponsor benefits may not be resold, transferred, copied, or exchanged for cash.
13. Media Release & Photography
Sponsor grants Organizer a limited, non-exclusive, royalty-free license to use Sponsor's name, logo, trademarks, and submitted materials for purposes related to the event, future sponsorship marketing, social media promotion, press materials, historical archives, and Organizer's promotional efforts.
Organizer retains sole discretion regarding the design, placement, formatting, and presentation of sponsor recognition.
Sponsor acknowledges that photographs, videos, livestreams, and other recordings may be captured during the event and used by Organizer for promotional, editorial, archival, and marketing purposes without compensation.
Sponsor grants Organizer permission to photograph and record Sponsor's activations, displays, signage, vehicles, products, employees, and representatives present at the event.
14. Intellectual Property & Brand Use
Sponsor may reference participation in Vintage in the Hudson Valley Festival for informational purposes only.
Use of Studio 22 Events LLC names, event names, logos, trademarks, or branding for advertising or promotional purposes requires prior written approval.
All intellectual property rights remain with their respective owners.
15. No Endorsement & Independent Status
Sponsorship participation does not constitute endorsement, approval, or verification by Organizer of any Sponsor, product, service, or claim.
Sponsor participates as an independent entity and is not an employee, agent, partner, joint venturer, or representative of Studio 22 Events LLC and has no authority to bind or represent Organizer.
16. Limitation of Liability & Assumption of Risk
To the fullest extent permitted by law, Organizer's total liability, if any, shall not exceed the amount paid by Sponsor for the applicable sponsorship.
Sponsor voluntarily assumes all risks associated with event participation, including interactions with attendees, vendors, contractors, volunteers, and third parties, as well as any property loss or damage.
Organizer shall not be liable for indirect, incidental, consequential, punitive, emotional-distress, or special damages, including lost profits, loss of opportunity, loss of business, or business interruption.
17. Indemnification
Sponsor agrees to release, indemnify, defend, and hold harmless Studio 22 Events LLC, its owners, officers, employees, contractors, volunteers, venues, sponsors, affiliates, and partners from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or related to Sponsor's participation, products, materials, representations, operations, or conduct.
18. Payment Disputes
Sponsor agrees not to initiate chargebacks or payment disputes for sponsorship fees.
In the event of a chargeback or payment dispute, Organizer reserves the right to submit these Terms and all related records to the payment processor and to recover any associated fees, costs, attorneys' fees, and losses incurred.
19. Public Communications
Sponsor agrees not to knowingly make false or misleading public statements regarding Organizer or the event.
Nothing in this section shall restrict truthful statements required by law.
20. Entire Agreement, Severability & Enforcement
These Terms constitute the entire agreement between Organizer and Sponsor regarding sponsorship participation and supersede all prior communications or understandings, whether written or oral.
No oral statements or representations shall modify these Terms. Any amendment must be made in writing by Studio 22 Events LLC.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure to enforce any provision shall not constitute a waiver of future enforcement.
21. Time Limitation on Claims
Any claim arising out of or relating to sponsorship participation must be brought within one (1) year of the applicable event date or shall be permanently barred.
22. Dispute Resolution & Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the sponsorship, or Sponsor's participation shall be resolved exclusively through binding arbitration conducted in the State of New York on an individual basis only.
Sponsor knowingly and voluntarily waives the right to a trial by judge or jury and agrees that no arbitration shall be joined, consolidated, or conducted on a class, collective, representative, or group basis.
The arbitrator shall have no authority to hear or decide any dispute on anything other than an individual basis or to award relief to anyone other than the individual Sponsor seeking relief.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
By purchasing, reserving, submitting payment for, or otherwise participating in a sponsorship, Sponsor expressly agrees to these Sponsorship Terms & Conditions in their entirety.
Organizer reserves the right to modify sponsorship opportunities, benefits, pricing, activations, festival programming, layouts, attractions, entertainment, and logistics at its sole discretion.
