EVENT SPONSORSHIP TERMS & CONDITIONS

These Event Sponsorship Terms & Conditions (“Terms”) apply to all sponsorships purchased, donated, or otherwise provided in connection with events produced by Studio 22 Events LLC (“Organizer”), including but not limited to Vintage in the Hudson Valley, and any future events in any city.

 

By purchasing a sponsorship, submitting payment, executing an electronic acknowledgment, or participating as a sponsor in any capacity (“Sponsor”), Sponsor acknowledges that they have read, understood, and agreed to be bound by these Terms in their entirety.

These Event Sponsorship Terms & Conditions (“Terms”) apply to all sponsorships purchased, donated, or otherwise provided in connection with events produced by Studio 22 Events LLC (“Organizer”), including but not limited to Vintage in the Hudson Valley, and any future events in any city.

By purchasing a sponsorship, submitting payment, executing an electronic acknowledgment, or participating as a sponsor in any capacity (“Sponsor”), Sponsor acknowledges that they have read, understood, and agreed to be bound by these Terms in their entirety.

 

Sponsorship Nature & Scope

Sponsorships are promotional opportunities intended to support event production and community engagement. Sponsorship benefits, visibility, and deliverables vary by event and sponsorship type and are described in the applicable sponsorship listing or agreement.

Organizer makes no representations or guarantees regarding attendance, demographics, engagement levels, brand exposure, sales, leads, or return on investment. Sponsorship participation is undertaken at Sponsor’s sole discretion.

Sponsor acknowledges that it is not relying on any statements, projections, estimates, or representations regarding attendance, exposure, demographics, performance, or outcomes, except as expressly set forth in these Terms. Any promotional materials or communications are informational only and do not constitute guarantees.

 

Sponsorship participation does not grant any express or implied category exclusivity, competitive protection, or market restriction unless expressly stated in writing by Studio 22 Events LLC.

 

Fees & Non-Refundable Policy

All sponsorship fees are non-refundable once payment is submitted. This includes, but is not limited to, presenting sponsorships, experience sponsorships, marketing sponsorships, raffle sponsorships, gift bag sponsorships, community sponsorships, and any add-ons or upgrades.

No refunds will be issued for cancellations, scheduling conflicts, illness, travel issues, weather conditions, changes in event scope, or Sponsor’s failure to fulfill sponsorship requirements.

 

Sponsor Responsibilities

Sponsor is solely responsible for fulfilling any requirements associated with their selected sponsorship, including but not limited to providing materials, products, logos, artwork, descriptions, prizes, or other deliverables by stated deadlines.

Failure to meet deadlines or requirements may result in reduced or forfeited sponsorship benefits without refund.

Sponsor represents and warrants that all materials, products, and representations provided are lawful, accurate, owned or properly licensed, and compliant with all applicable federal, state, and local laws and regulations.

All sponsor materials are subject to Organizer approval. Organizer reserves the right to refuse, remove, or require modification of any materials that are misleading, inappropriate, unsafe, or not aligned with event standards, without refund.

 

Right to Modify, Reschedule, or Cancel

Organizer reserves the right to modify sponsorship benefits, event programming, timelines, or logistics as necessary for operational, safety, legal, or venue-related reasons.

Organizer shall not be liable for delay, interruption, rescheduling, or cancellation of an event due to circumstances beyond reasonable control, including but not limited to acts of God, severe weather, public health emergencies, government orders, venue issues, labor disputes, or safety concerns. In such cases, sponsorship fees remain non-refundable, and Organizer is not obligated to replace or substitute sponsorship benefits.

 

No Endorsement & Independent Status

Sponsorship participation does not constitute endorsement, approval, or verification by Organizer of any Sponsor, product, service, or claim.

Sponsor participates as an independent entity and is not an employee, agent, partner, joint venturer, or representative of Studio 22 Events LLC. Sponsor has no authority to bind or represent Organizer in any manner.

 

Media Release & Promotional Use

Sponsor grants Organizer a limited, non-exclusive, royalty-free, revocable license to use Sponsor’s name, logo, trademarks, and submitted materials solely for purposes related to the sponsored event and Organizer’s promotional and archival materials.

Organizer retains sole discretion over placement, design, formatting, and presentation of sponsorship recognition.

 

Intellectual Property & Brand Use

Sponsor may reference participation in the event for informational purposes only. Use of the Studio 22 Events LLC name, event names, logos, trademarks, or branding for advertising or promotional purposes requires prior written approval.

All intellectual property rights remain with their respective owners.

 

Limitation of Liability & Assumption of Risk

To the fullest extent permitted by law, Organizer’s total liability, if any, shall not exceed the amount paid by Sponsor for the applicable sponsorship.

Sponsor voluntarily assumes all risks associated with event participation, including interactions with attendees, vendors, and third parties, and any property loss or damage.

Organizer shall not be liable for indirect, incidental, consequential, punitive, or emotional distress damages, including lost profits or loss of opportunity.

 

Indemnification

Sponsor agrees to release, indemnify, defend, and hold harmless Studio 22 Events LLC, its owners, officers, employees, contractors, volunteers, venues, sponsors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to Sponsor’s participation, materials, products, representations, or conduct.

 

Payment Disputes

Sponsor agrees not to initiate chargebacks or payment disputes for sponsorship fees. In the event of a chargeback or dispute, Organizer reserves the right to submit these Terms and related records to the payment processor and to recover any associated fees, costs, or losses incurred.

 

Public Communications

Sponsor agrees not to make false, misleading, or disparaging public statements regarding Organizer or the event. This provision does not restrict truthful statements required by law.

 

Entire Agreement, Severability & Enforcement

These Terms constitute the entire agreement between Organizer and Sponsor regarding sponsorship participation and supersede all prior communications or understandings, whether written or oral.

No oral statements or representations shall modify these Terms. Any amendment must be made in writing by Studio 22 Events LLC.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement.

 

Time Limitation on Claims

Any claim arising out of or related to sponsorship participation must be brought within one (1) year of the applicable event date or shall be permanently barred.

 

Dispute Resolution & Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the sponsorship, or Sponsor’s participation shall be resolved exclusively through binding arbitration conducted in the State of New York, on an individual basis only.

Sponsor knowingly and voluntarily waives the right to a trial by judge or jury and agrees that no arbitration shall be joined, consolidated, or conducted on a class, collective, representative, or group basis.

The arbitrator shall have no authority to hear or decide any dispute on anything other than an individual basis or to award relief to anyone other than the individual Sponsor seeking relief.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
